Salesforce Acquires Braze for $5.66 Billion: Why This Deal Won't Close Until 2027

CRM

On October 20, 2026, Salesforce filed a definitive agreement with the SEC to acquire Braze (Nasdaq: BRZE), a customer engagement platform, for approximately $5.66 billion in enterprise value. Per the terms disclosed in the 8-K filing, holders of Braze Class A common stock will receive $47.50 in cash per share. It's Salesforce's fourth announced acquisition in just over a month, after Listen Labs (September 29) and Loops (October 12) — but with one major structural difference: Braze is a publicly traded company, which changes the entire timeline of the deal.

What Braze Actually Brings

Braze runs a real-time customer engagement platform used by roughly 2,770 companies, according to the SEC filing. Its event-streaming architecture is built to react to customer behavior across mobile apps, the web, email, SMS, and WhatsApp. BrazeAI adds a layer of automated optimization for content, offers, channel, and send timing.

  • High-volume event processing for real-time B2C marketing
  • Cross-channel orchestration: mobile app, web, email, SMS, WhatsApp
  • BrazeAI: automated optimization of content, offer, channel, and timing
  • Installed base of roughly 2,770 customers per the official filing

Why This Deal Won't Close Before Salesforce's Fiscal 2028

Unlike Salesforce's previous acquisitions of private companies (Listen Labs, Loops), Braze is publicly traded. The deal therefore remains subject to Braze shareholder approval and standard regulatory clearance, on top of the usual closing conditions. The SEC filing states the deal is expected to close during Salesforce's fiscal year 2028 — more than a year after signing. Salesforce states it is not changing its fiscal 2027 guidance and has given no figures for fiscal 2028 at this stage.

The Stated Integration: Data 360, Customer 360, Agentforce

Per the announcement, Salesforce positions Braze as reinforcing Marketing Cloud within Customer 360, with expected connections to Data 360 and Agentforce to enable real-time, behavior-driven personalization. Patrick Stokes (President, Applications and Marketing, Salesforce) said "Braze was built to turn live customer behavior into personalized engagement at scale." Bill Magnuson (CEO and Co-Founder of Braze) spoke of a shared vision with Salesforce around supporting marketing teams. No technical integration timeline has been disclosed — unsurprising, since the deal hasn't even closed yet.

What This Actually Means for Your Decision

  • If you're a Braze customer: no contract changes announced as of October 21, 2026, and closing won't happen before Salesforce's fiscal 2028 (early 2027 at the earliest) — nothing urgent to decide.
  • If you're a Salesforce Marketing Cloud customer: no bundled offer exists yet; wait for closing and pricing clarity before assuming a Braze integration lands in your contract.
  • If you're evaluating Braze as an independent alternative to Marketing Cloud: the acquisition changes nothing about the tool today, but it's a factor to weigh for a 2027-2028 horizon.
  • The pace (4 acquisitions in a month: Fin, Listen Labs, Loops, Braze) confirms a deliberate external-growth strategy in AI and customer engagement — worth watching for pricing consolidation effects once these deals close.
